Продавец продал, а Покупатель купил на условиях ФОБ Питер товары в соответствии со спецификацией, приложенной к настоящему контракту и являющейся неотъемлемой частью.

The Sellers have sold and the Buyers have bought on the basis of delivery FOB St.Petersburg the following goods in accordance with the Specifications attached hereto and considered as an integral part of the present Contract.

Продавец продал, а Покупатель купил следующее оборудование, именуемое в дальнейшем товар, на условиях франко-вагон граница Бельгии, укомплектованное стандартным набором запасных частей, необходимой технической документацией и соответствующими принадлежностями.

The Sellers have sold and the Buyers have bought the following equipment, hereinafter referred to as the “goods”, on the basis of delivery FOB Belgium complete with standard spare parts, required technical documentation and corresponding accessories.

Contract B.

1. Subject of the Contract

The Sellers have sold and the Buyers have bought on terms F.O.B. stowed¹ Port St Petersburg equipment in accordance win Specifications and technical conditions sti­pulated in Appendix 1, technical documen­tation stated in Appendix 2 and spare parts as per Appendix 3 attached to the present Con­tract.

Texts:

A. The prices for the goods are fixed in DM (Deutschmarks) and are understood to

be C.I.F. ___including the cost of packing and marking

The total amount of the present Contract is DM 102,608.00.

B. The prices of the Contract are firm for the duration of the Contract and under­stood to be F.O.B. sea port Japan including export sea packing, marking, port and dock dues on the cargo, attendance to customs formalities, loading into the hold, cranage, stevedoring, stowing of the cargo m the hold, lashing and securing as well as the cost of materials used for this purpose.

C. The price for Frozen Beef sold under the present Contract is ... US dollars per metric ton net, including the cost of packing and marking and is understood to be F.O.B. port of the Sellers' country, including the cost of loading, stowing in the hold and separation materials.

D.The prices are understood to be F.O.B. Novorossiysk Port. The Sellers are to bear all the expenses connected with the delivery of the goods on F.O.B. terms includingg overseas packing, marking, loading on board the ship, stowing and fastening the equipment in the hold including the cost of materials used for this purpose,lighterage, placing the cargo along the moor, stevedoring, dock, port dues, cran­age, customs duties and attendance to customs formalities, as well as. any other expenses which may arise on the territory of the Sellers' country connected with the execution of the present Contract.

The total value of the Contract amounts to: Italian Lire ISO mln.

The prices per item are specified in Appendix No. 3and fixed in Italian Lire.

The prices are firm and not subject to any alteration.

Texts:

A. The quality of the goods sold under the present Contract is to be in full confor­mity either with the state standards existing in the RF or with the technical condi­tions ruling at the manufacturing works and is to be confirmed by a Quality Cer­tificate issued by the manufacturing works or by the Sellers.

B. The quality of the goods is to be in conformity with the requirements given in the Specifications attached to the Contract. The goods are to be of the latest design and manufactured of first-grade materi­als. The Sellers on their own initiative but with the Buyers' consent or at their request are to make improvements in the design and the materials of which the goods are made taking into account the latest technical achievements in this field without any extra charges or postponement of the delivery date. The quality of the goods is to be confirmed by a Certificate of Quality issued by the manufacturing works, or by a Letter of Guarantee of the Sellers.

C. The quality of meat sold under this Contract is to correspond to the technical conditions stated in Enclosure № 1 which is an integral part of this Contract and is to be confirmed by the following documents:

a) Certificate of Quality issued by a competent organisation in the Sellers' coun­try to certify that the delivered meat corresponds completely to the technical conditions of this Contract. ^D) Veterinary certificate made out by a competent organisation of the Sellers' country to confirm the compliance of this Contract with the veterinary conditions set forth in Enclosures Nos. 1,2. Each block of beef is to be wrapped in polyethylene and put in a new strong car­ton. The outside of each carton is to bear a stamp of the official veterinary in­spection clearly stencilled in indelible paint.

Texts:

A. The Sellers shall guarantee the quality of the goods sold for ... months from the date of delivery. Should the goods within the guarantee period prove to be defec­tive or not corresponding to the terms and conditions of the Contract, the Sellers are to eliminate the defects or replace the defective parts. The guarantee does not cover rapidly wearing parts or spare parts. It does not apply to natural wear and tear or to damage which is due to negligent or improper storage and handling, overloading, using for the wrong purpose, insufficient and/or incorrect assembly and operation by non-qualified personnel of the Buyers and also due to non-fulfilment of the Sellers' technical instructions for installa­tion and/or assembly and putting the equipment into operation.

B. The Sellers guarantee:

a) mat the quality of the goods is in full conformity with the Contract conditions;

b) that the goods delivered correspond to the highest technical level and highest standards existing in the Sellers' country for this type of goods at the moment of the execution of the Contract;

c) high quality materials, first-rate workmanship and high-standard manufacture, assembly and technical test;

d) that the complete set of the delivered goods and technical documentation fully corresponds to that stipulated by the Contract.

The guarantee period is ... months from the date of putting the goods into opera­tion, but not more than ... months from the date of delivery. Should the goods prove to be defective during the period of guarantee, or not cor-responding to the conditions of the Contract, the Sellers for their own account and at the Buyers' option are to either remedy the defects or replace the defec­tive goods with new ones without any delay and on the terms stated by the Buy­ers. . , ,

At the request of the Sellers the faulty goods .or parts of the goods are to be re turned to the Sellers at their expense after delivery of the replacements. If by mutual agreement between the Parties the elimination of the defects is ef­fected by the Buyers, the Sellers are to compensate the Buyers for all expenses incurred by the Buyers in connection with this elimination. In case the elimination of the defects or the replacement of faulty parts take place, the guarantee period is to be prolonged for the period used for such elimination or replacement.

If neither party can eliminate the defects, the Buyers have the right either to de­mand from the Sellers a proportionate decrease in the price of the goods delivered or to cancel the Contract, and in this case the Sellers, are to compensate for the losses the Buyers may sustain.

Unit 1 Сроки поставки/ delivery dates

A

The goods shall be delivered at the time stipulated in the Specification(s) attached to the present Contract.

The date of delivery shall be considered 15 August 2009.

Partial delivery shall be allowed.

The Sellers have the right to deliver the goods earlier than is stipulated in the Contract.

B

The beef in blocks sold under this Contract is to be delivered within the following period of time: 1 oct.__20 oct. 2009.

The Sellers are to notify the Buyers by cable 20 days preceding the month of shipment, of the quantity of the goods to be loaded as well as the expected port and dates of loading.

The Buyers shall provide the required tonnage within the period of time stated above.

The date of the ‘clean on board’ Bill of Lading signed the Master shall be considered as the date of delivery.

C

The equipment in Clause 1 of the present Contract is to be delivered complete within 6 months of the date of signing the Supplement.

By the time stipulated, the equipment is to be manufactured in accordance with the Contract conditions, tested , marked and delivered FOB sea port Japan.

Not later than 40 days preceding the month of shipment the Seller are to notify the Buyers by telex about the date of readiness of hte goods for shipment stating the weight, the cubic volume of hte cargo and the port of loading.

Within 24 hours of shipment of the goods the Sellers are to let the Buyers know by telex the date of shipment, Contract#, Bill of Lading#, the number of cases, the weight, the name of the vessel and the port of destination.

The delivery date is understood to be the date of hte clean-on-board Bill of Lading issued in the name of hte Consignee, the port of destination, Russia.

Within 24 hours of the moment of issue of hte Bill of Lading the Sellers are to airmail the Buyers copies of the Bill of Lading.

If on the expiration of 30 days from the date of readiness of the goods for shipment the shipping facilities are not available and the goods cannot therefore be shipped, the Seller have the right to hand over the goods to the Buyers’ Forwarding Agent receipt by whom is considered to be proof of timely delivery.

After handing over the goods to the Buyers’ Forwarding Agent, all the expenses connected with the storage of hte goods up to the moment of loading them on board the ship are to be covered by the Buyers.

It does not, however release the Sellers from the liability to load the goods aboard at their own expense to secure and stow them in the hold and/or on deck, in accordance with Clause2 of the present contract.

If the goods are not ready for shipment by the date of arrival of the vessel, the Seller are to cover the losses the Buyers may sustain in connection with demurrage and/or under loading of the ship(dead freight)
